Welcome to WC&P Connect, the Buyer's Guide System operated by Meliora Group LLC for WC&P International ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of WC&P Connect, including the placement of advertisements in the wcponline.com Buyer's Guide digital edition and WC&P Print Edition (collectively, the "Service").

By registering for, accessing, or using the Service, you ("Advertiser," "you," or "your") agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

WC&P Connect is an advertising platform that enables companies to create, manage, and publish advertisements in:

• The wcponline.com Buyer's Guide digital edition
• WC&P Print Edition Buyer's Guide

The Service provides tools for ad creation, content management, payment processing, and performance tracking related to your advertising placements.

3. Eligibility and Account Registration

3.1 Eligibility

You must be a business entity or individual authorized to enter into binding contracts to use this Service. By registering, you represent and warrant that:

• You have the authority to bind your company to these Terms
• All registration information you submit is accurate and complete
• You will maintain the accuracy of such information

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

4. Advertiser Obligations

4.1 Content Accuracy

You represent and warrant that all advertising content you submit:

• Is accurate, truthful, and not misleading
• Does not violate any applicable laws or regulations
• Does not infringe upon any third-party intellectual property rights
• Complies with all industry-specific advertising standards and regulations

4.2 Prohibited Content

You may not submit advertisements that:

• Contain false, misleading, or deceptive information
• Promote illegal products, services, or activities
• Contain defamatory, obscene, or offensive material
• Infringe upon intellectual property rights, privacy rights, or other rights of third parties
• Contain malware, viruses, or harmful code
• Violate our content guidelines or applicable advertising standards

4.3 Updates and Changes

You are responsible for ensuring your advertisement content remains current and accurate. You must promptly update or remove any content that becomes inaccurate or outdated.

5. Intellectual Property Rights

5.1 Your Content

You retain ownership of all content you submit through the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, and display such content for the purpose of providing the Service and promoting the Buyer's Guide publications.

5.2 Our Content

The Service, including its design, functionality, text, graphics, logos, and other content (excluding your submitted advertisements), is owned by Meliora Group LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our content without express written permission.

5.3 Trademarks

"WC&P," "WC&P International," "Meliora Group," and associated logos are trademarks of Meliora Group LLC. You may not use these marks without our prior written consent.

6. Payment Terms

6.1 Fees

Advertising fees are based on the package, placement, and duration selected at the time of purchase. All fees are specified during the ordering process and must be paid in accordance with the payment schedule provided.

6.2 Payment Methods

We accept payment via credit card, ACH transfer, or other methods as specified in your account. By providing payment information, you:

• Authorize us to charge the applicable fees to your payment method
• Represent that you are authorized to use the payment method provided
• Agree to pay all fees and applicable taxes

6.3 Late Payment

Late payments may result in:

• Suspension or removal of your advertisements
• Late fees as permitted by law
• Termination of your account

6.4 Taxes

You are responsible for all applicable federal, state, and local taxes associated with your use of the Service, excluding taxes based on our net income.

7. Cancellation and Refunds

7.1 Cancellation by Advertiser

You may cancel your advertising placement by contacting us at info@wcponline.com or 520-323-6144. Cancellation terms vary based on your package:

• Cancellations made before publication deadlines may be eligible for refunds, subject to applicable cancellation fees
• Cancellations made after publication deadlines are generally not eligible for refunds
• Specific cancellation terms will be provided in your service agreement

7.2 Cancellation by Us

We reserve the right to cancel or remove any advertisement that:

• Violates these Terms or our content guidelines
• We determine, in our sole discretion, is inappropriate or harmful
• Results from non-payment or payment disputes

7.3 Refund Policy

Refunds, if applicable, will be processed within 30 days of approved cancellation. We do not provide refunds for:

• Advertisements already published
• Partial service periods
• Cancellations made after applicable deadlines

8. Ad Placement and Publication

8.1 Submission Deadlines

You must submit all advertising content by the specified deadlines. We are not responsible for delays in publication resulting from your late submissions.

8.2 Placement and Positioning

While we make reasonable efforts to accommodate placement preferences, we do not guarantee specific ad positions unless explicitly agreed upon in writing. Final ad placement is at our discretion based on space availability and editorial considerations.

8.3 Ad Specifications

All advertisements must comply with our technical specifications, which are provided during the submission process. We reserve the right to reject advertisements that do not meet these specifications.

8.4 Publication Schedule

We will use commercially reasonable efforts to publish your advertisement according to the agreed schedule. However, we do not guarantee publication on specific dates and are not liable for delays due to technical issues, production problems, or force majeure events.

10. Limitation of Liability

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Meliora Group LLC, WC&P International, and their affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your advertisements or other content submitted through the Service
• Your violation of these Terms
• Your violation of any rights of third parties
• Your violation of any applicable laws or regulations

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us at info@wcponline.com. Termination does not relieve you of payment obligations for services already rendered.

12.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

• You violate these Terms
• You fail to pay applicable fees
• We are required to do so by law
• We cease offering the Service

12.3 Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases
• We may remove your advertisements from publication
• You remain obligated to pay all outstanding fees
• Sections of these Terms that by their nature should survive termination will survive

13. Privacy and Data Protection

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting a notice on our Service, sending an email to the address associated with your account, and updating the "Effective Date" at the top of these Terms.

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. Modifications to Service

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuance of the Service.

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate or successor without restriction.

16.5 Force Majeure

We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

18. Dispute Resolution

18.1 Informal Resolution

18.2 Binding Arbitration

If we cannot resolve a dispute informally, any controversy or claim shall be settled by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall take place in Arizona, and judgment on the award may be entered in any court having jurisdiction.

18.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and us individually. To the full extent permitted by law, no arbitration or proceeding shall be joined with any other, no dispute shall be arbitrated on a class-action basis, and you waive any right to participate in a class action against us.
